Terms of Service

Welcome to Bravus Technologies. These Terms of Service ("Terms") govern your use of our IT services and marketing solutions. By engaging our services, you agree to be bound by these Terms.

1. Services Offered

Bravus Technologies is an IT services and marketing company offering, but not limited to:

  • Software Development & Web Development
  • Mobile Application Development
  • UI/UX Design Services
  • Digital Marketing Services
  • Marketing Campaign Management
  • Social Media Marketing
  • SEO & Content Marketing
  • IT Consulting and Solutions
  • Custom Software Solutions

The specific scope of services for your project will be outlined in a separate quotation, proposal, or service agreement.

2. Payment Terms

2.1 Advance Payment Requirements

For IT/Software Projects:

  • Small Projects (lower value): 50% advance payment is mandatory before project commencement
  • Large Projects (higher value/complexity): 30% advance payment is required before project commencement

For Marketing Services:

  • 50% advance payment is mandatory for all marketing packages, regardless of package duration (6 months, 1 year, or any other period)

2.2 Payment Schedule

  • Payments may be structured on a completion basis or milestone basis, depending on the project scope and mutual agreement
  • For milestone-based projects, payment for each milestone is due within 5 days of the milestone due date
  • Important: Failure to make payment within the stipulated timeframe will result in project delays. The project timeline will be paused until payment is received

2.3 Final Payment

The remaining balance after advance payment must be paid:

  • Upon project completion (for completion-based projects), or
  • At agreed milestones (for milestone-based projects)

Final deliverables, including source code, files, and access credentials, will be transferred only after full payment is received

2.4 Accepted Payment Methods

We accept the following payment methods:

  • Electronic Payments (e-payments)
  • Cash
  • UPI (Unified Payments Interface)
  • Bank Transfer/Wire Transfer

2.5 Late Payment

Late payments may result in:

  • Project work suspension
  • Delayed project delivery

3. Refund and Cancellation Policy

3.1 Non-Refundable Advance

  • The first 30% advance payment is non-refundable under any circumstances once the project has commenced

3.2 Project Cancellation

  • If the client wishes to cancel the project after work has progressed beyond 50% completion:
  • The project can be cancelled without additional cancellation charges
  • However, the client must pay up to 50% of the total project value (or the work completed, whichever is higher)
  • The project code, files, and work completed up to that point will be delivered to the client upon payment

3.3 Refund for Work Not Started

  • If the project has not yet commenced and no work has been done, refund eligibility will be evaluated on a case-by-case basis

4. Project Scope and Changes

4.1 Scope of Work

  • The project scope, deliverables, timeline, and specifications will be clearly defined in the project proposal/quotation
  • Both parties must agree to and sign off on the scope before work begins

4.2 Changes and Revisions

UI/UX Design Changes:

  • Once the UI/UX design is approved and signed off by the client, no further changes to the design will be accepted without additional charges
  • Additional design revisions requested after approval will incur extra charges as per our revision policy

Feature Additions and Modifications:

  • Any request for additional features, functionalities, or significant modifications beyond the agreed scope will require:
  • Buffer time for implementation
  • Additional charges based on the complexity and time required
  • A revised quotation will be provided for approval before proceeding

4.3 Client-Caused Delays

If project delays occur due to:

  • Late feedback or approvals from the client
  • Changes to project scope or requirements
  • Delayed content, assets, or information from the client

The original project deadline may be extended accordingly. Bravus Technologies will not be held responsible for delays caused by the client.

5. Project Timeline and Delivery

5.1 Delivery Commitment

  • We are committed to delivering projects within the agreed timeline as specified in the project proposal
  • Project timelines are calculated based on the agreed scope, assuming timely feedback and approvals from the client

5.2 Timeline Extensions

Timelines may be extended if:

  • The client requests significant changes or additional features
  • The client provides delayed feedback or content
  • Unforeseen technical challenges arise (we will communicate these promptly)

5.3 Documentation and Support

Upon request, we will provide:

  • Code documentation explaining the project structure and codebase (if requested)
  • User guides or manuals for using the delivered software/website (if requested)

These may be included in the project scope or provided as an additional service, depending on the agreement

6. Marketing Services

6.1 Campaign Management

  • Marketing campaigns will be executed as per the agreed scope of work and strategy outlined in the proposal
  • Campaign performance and results depend on various factors including market conditions, target audience, competition, and platform algorithms

6.2 Marketing Assets and Ownership

  • All marketing materials, creative assets, content, graphics, and advertising materials created by Bravus Technologies during the project will be transferred to the client upon project completion and full payment
  • The client will have full ownership and rights to use these assets as they wish

6.3 Third-Party Advertising Costs

  • Any third-party advertising costs (such as Facebook Ads, Google Ads, or other paid media) are separate from our service fees and must be paid directly by the client or reimbursed to us
  • Our service fee covers strategy, management, creative work, and execution, but not the advertising spend itself

6.4 No Guaranteed Results

  • While we strive to deliver the best possible results, Bravus Technologies does not guarantee specific marketing outcomes (such as a certain number of leads, sales, or conversions) as these depend on multiple external factors beyond our control

7. Intellectual Property Rights

7.1 Ownership Transfer

  • Upon full payment of all project fees, the client will receive full ownership and intellectual property rights to:
  • The final delivered software, website, application, or product
  • Custom code written specifically for the client’s project
  • Marketing materials and creative assets

7.2 Pre-Existing Materials

  • Any pre-existing code, libraries, frameworks, templates, or third-party tools used in the project may remain under their original licenses
  • Bravus Technologies retains the right to use general knowledge, techniques, and methodologies gained during projects for future work

7.3 Portfolio Rights

  • Bravus Technologies reserves the right to showcase completed projects in our portfolio, website, and marketing materials unless a non-disclosure agreement (NDA) explicitly prohibits this

8. Support and Maintenance

8.1 Free Support Period

We offer complimentary support for a limited period after project delivery:

  • 1-2 months of free support for certain projects (as specified in the project agreement)
  • Free support includes bug fixes, minor adjustments, and technical assistance related to the delivered project

8.2 Post-Support Maintenance

  • After the free support period, ongoing maintenance and support services are available at an additional cost
  • A maintenance agreement or service contract can be arranged based on the client’s needs

9. Confidentiality and Data Protection

9.1 Client Confidentiality

  • Bravus Technologies respects client confidentiality and will not disclose proprietary or confidential information to third parties without explicit consent
  • All client data, business information, and project details will be handled with strict confidentiality

9.2 Non-Disclosure Agreements

  • For projects requiring additional confidentiality protections, a separate Non-Disclosure Agreement (NDA) can be signed

9.3 Data Security

  • We implement industry-standard security measures to protect client data during and after the project
  • However, clients are responsible for securing their own systems, accounts, and credentials after project handover

10. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information, content, and assets required for the project
  • Respond to queries, review deliverables, and provide feedback in a timely manner
  • Make payments as per the agreed schedule
  • Inform us promptly of any concerns or issues with the project
  • Ensure they have the legal right to use any content, images, or materials provided to us

11. Limitation of Liability

11.1 Service Limitations

  • Bravus Technologies provides services on an "as-is" basis and makes every effort to deliver high-quality work
  • However, we do not guarantee uninterrupted or error-free services, especially concerning third-party platforms, hosting services, or external integrations

11.2 Liability Cap

  • To the maximum extent permitted by law, Bravus Technologies' total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project in question

11.3 Exclusions

Bravus Technologies is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Issues arising from client-caused delays, incorrect information, or third-party services

12. Termination

12.1 Termination by Client

  • The client may terminate the project at any time by providing written notice
  • Upon termination, the client must pay for all work completed up to the termination date (as outlined in Section 3.2)

12.2 Termination by Bravus Technologies

Bravus Technologies reserves the right to terminate the agreement if:

  • The client fails to make payments as agreed
  • The client breaches these Terms of Service
  • The client engages in abusive, threatening, or unprofessional behavior
  • The project requirements involve illegal or unethical activities

12.3 Effect of Termination

13. Warranty and Disclaimers

13.1 Service Warranty

  • We warrant that services will be performed in a professional and workmanlike manner
  • Any defects or issues reported during the free support period will be addressed at no additional cost

13.2 No Guarantee of Results

  • While we strive for excellence, Bravus Technologies does not guarantee specific business results, traffic, rankings, leads, or sales from marketing or IT projects

13.3 Third-Party Services

  • We are not responsible for third-party services, tools, platforms, or hosting providers
  • Any issues with third-party services must be addressed directly with those providers

14. Dispute Resolution

14.1 Amicable Resolution

  • In case of any disputes or disagreements, both parties agree to first attempt to resolve the matter through good-faith negotiation

14.2 Governing Law

  • These Terms of Service shall be governed by and construed in accordance with the laws of India (or the jurisdiction where Bravus Technologies operates)

14.3 Jurisdiction

  • Any legal disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts in [Your City/State], India

15. Miscellaneous

15.1 Amendments

  • Bravus Technologies reserves the right to update or modify these Terms of Service at any time
  • Updated Terms will be posted on our website with a revised "Last Updated" date
  • Continued use of our services after changes constitutes acceptance of the revised Terms

15.2 Entire Agreement

  • These Terms, together with any project proposal, quotation, or service agreement, constitute the entire agreement between the client and Bravus Technologies

15.3 Severability

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect

15.4 Force Majeure

  • Bravus Technologies shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or technical failures
